These Terms & Conditions constitute a legally binding agreement. Please read them carefully before accessing or using the Website or purchasing any Products.

General Terms

1. Introduction

1.1 Welcome to Palm Angels India (the "Website"). The Website is owned and operated by Zyvora Brands Private Limited (hereinafter referred to as the "Company", "we", "us", or "our").

1.2 The Website is an online retail platform through which the Company offers for sale premium fashion apparel, footwear, bags, accessories, lifestyle products, limited edition collections, and seasonal collections under the Palm Angels brand (collectively referred to as "Products").

1.3 These Terms & Conditions ("Terms") govern your access to and use of the Website, including browsing, registration, account creation, placing orders, making purchases, and availing any services offered through the Website (collectively, "Services").

1.4 These Terms are published in accordance with the provisions of the Information Technology Act, 2000, and the rules made thereunder, including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and constitute an electronic record within the meaning of the said Act.

1.5 These Terms must be read in conjunction with our Privacy Policy, Returns, Exchanges & Refunds Policy, and Shipping & Delivery Policy, each of which is incorporated herein by reference and forms an integral part of the overall agreement between you and the Company.

1.6 By accessing the Website, browsing its content, registering an account, or placing an order, you unconditionally accept and agree to be bound by these Terms, as amended from time to time. If you do not agree to these Terms, please discontinue your use of the Website immediately.

2. Acceptance of Terms

2.1 Your access to and use of the Website constitutes your unconditional acceptance of these Terms and all policies incorporated herein. This acceptance is effective from the moment you first access the Website.

2.2 If you are placing an order or registering an account on behalf of another person or a legal entity, you represent and warrant that you have the authority to bind such person or entity to these Terms.

2.3 The Company reserves the right to modify, update, or amend these Terms at any time without prior notice. The revised Terms shall be published on the Website with an updated effective date and shall be binding upon all Users from the date of such publication. Your continued use of the Website following the publication of revised Terms constitutes your acceptance of such changes.

2.4 It is your responsibility to review these Terms periodically. The Company shall not be liable for any failure on your part to review updated Terms.

3. Definitions

3.1 In these Terms, unless the context otherwise requires, the following expressions shall have the meanings ascribed to them below:

(a) "Account" means the registered user account created on the Website by a User for the purpose of accessing the Services and purchasing Products.

(b) "Company" means Zyvora Brands Private Limited, the owner and operator of the Website.

(c) "Consumer" shall have the meaning ascribed to it under the Consumer Protection Act, 2019.

(d) "Customer" means any User who places an order for or purchases one or more Products through the Website.

(e) "Discount Code" means a unique alphanumeric code issued by the Company that entitles the holder to a specified discount on eligible Products.

(f) "Force Majeure Event" shall have the meaning ascribed to it in Clause 33 of these Terms.

(g) "Gift Card" means a prepaid instrument issued by the Company, redeemable against the purchase of Products on the Website, subject to applicable terms.

(h) "Grievance Officer" means the officer designated by the Company to address grievances in accordance with applicable law, as identified in Clause 34 of these Terms.

(i) "Intellectual Property Rights" means all copyright, trademarks, trade names, service marks, design rights, patents, database rights, and all other intellectual property rights, whether registered or unregistered, subsisting anywhere in the world.

(j) "Order" means a request submitted by a User through the Website to purchase one or more Products.

(k) "Order Confirmation" means the communication issued by the Company confirming acceptance of an Order and the dispatch or shipment of the relevant Products.

(l) "Products" means all fashion apparel, footwear, bags, accessories, lifestyle products, limited edition items, and seasonal collections listed for sale on the Website.

(m) "Services" means the Website, the platform, the e-commerce functionality, and all related services offered by the Company through the Website.

(n) "User" means any individual who accesses, browses, or uses the Website, whether or not they are a registered Customer.

(o) "Website" means palmangels.co.in, including all associated pages, subdomains, and mobile-optimised versions thereof.

(p) "Working Days" means days other than Saturdays, Sundays, and public holidays as declared by the Government of India or the relevant State Government.

4. Eligibility

4.1 The Website and its Services are intended solely for individuals who are at least eighteen (18) years of age. By accessing the Website or placing an Order, you represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872.

4.2 If you are below the age of eighteen (18) years, you may access the Website only under the supervision of a parent or legal guardian who has read, understood, and agreed to these Terms on your behalf. In such cases, the parent or legal guardian shall be deemed to have accepted these Terms and shall be responsible for all activities conducted under the minor's Account.

4.3 If the Company becomes aware that a User below the age of eighteen (18) years is using the Website without parental or guardian supervision, the Company reserves the right to suspend or terminate such User's Account without prior notice.

4.4 The Services are available only to individuals who are not barred from receiving services under applicable Indian law. Persons who have been previously suspended or removed from the Website by the Company are not eligible to re-register or use the Services.

4.5 The Website is intended for personal, non-commercial use only. Resellers, commercial buyers, and individuals purchasing Products for the purpose of resale are not eligible to place Orders through the Website.

User Accounts

5. User Account Registration

5.1 To access certain features of the Website, including placing Orders, tracking shipments, and managing preferences, you may be required to create an Account.

5.2 Account registration is a one-time process. To register, you must provide accurate, current, and complete information, including your full name, email address, mobile phone number, delivery address, and any other information requested during the registration process.

5.3 You agree to maintain and promptly update your Account information to ensure it remains accurate, current, and complete at all times. Failure to do so may constitute a breach of these Terms and may result in suspension or termination of your Account.

5.4 You are responsible for maintaining the confidentiality of your Account credentials, including your username and password. You agree not to disclose your password to any third party. You accept full responsibility for all activities that occur under your Account.

5.5 You must notify the Company immediately upon becoming aware of any unauthorised access to or use of your Account, or any other breach of security, by writing to customercare@palmangels.co.in. The Company shall not be liable for any loss or damage arising from your failure to comply with this obligation.

5.6 You may not use a username that impersonates another person, uses another person's name without their consent, infringes the intellectual property rights of any third party, or is offensive, obscene, or vulgar.

5.7 The Company reserves the right to refuse registration, suspend, or terminate any Account at its sole discretion, including in cases where the information provided is found to be inaccurate, incomplete, or misleading.

6. Accuracy of Information

6.1 You represent and warrant that all information provided to the Company, whether during registration, at the time of placing an Order, or otherwise, is true, accurate, current, and complete.

6.2 The Company shall not be liable for any loss, delay, or failure arising from inaccurate or incomplete information provided by you, including incorrect delivery addresses, contact details, or payment information.

6.3 The Company reserves the right to verify the information provided by you at any stage and may, at its sole discretion, cancel an Order or suspend an Account if the information provided is found to be false, misleading, or incomplete.

Products, Pricing & Orders

7. Product Descriptions

7.1 The Company endeavours to ensure that all Product descriptions, images, specifications, and related content displayed on the Website are accurate and up to date. However, the Company does not warrant that Product descriptions or other content on the Website are entirely free from errors, omissions, or inaccuracies.

7.2 Product images displayed on the Website are for illustrative purposes only. Owing to differences in photographic techniques, screen display settings, lighting conditions, and image acquisition technologies, the actual colour, texture, finish, or appearance of a Product may vary from what is depicted on the Website. The Company shall not be liable for any such variation.

7.3 In the event that a Product is found to be materially different from its description on the Website at the time of purchase, your remedy shall be governed by the Returns, Exchanges & Refunds Policy, as published on the Website.

7.4 The Company reserves the right to modify, discontinue, or withdraw any Product from the Website at any time without prior notice.

8. Product Availability

8.1 All Products are offered subject to availability. The Company does not guarantee the continued availability of any Product listed on the Website.

8.2 In the event that a Product ordered by you is out of stock or unavailable at the time of processing your Order, the Company shall notify you as soon as reasonably practicable and, where payment has been received, shall process a full refund in accordance with the Returns, Exchanges & Refunds Policy.

8.3 For limited edition and seasonal collections, additional restrictions may apply, including limitations on the number of units available per Customer. Such restrictions shall be communicated on the relevant Product page on the Website.

9. Pricing

9.1 All prices displayed on the Website are in Indian Rupees (INR) and are inclusive of applicable Goods and Services Tax (GST) and other statutory levies, unless expressly stated otherwise.

9.2 The Company reserves the right to revise prices at any time prior to the acceptance of an Order. Price changes shall not affect Orders that have already been confirmed by the Company.

9.3 In the event of a manifest pricing error on the Website, the Company reserves the right to cancel the affected Order and issue a full refund, regardless of whether an Order Confirmation has been issued.

9.4 Delivery charges, if applicable, shall be displayed separately at the time of checkout and shall be added to the total Order value. Please refer to the Shipping & Delivery Policy for further details.

9.5 The Company shall not be bound by any pricing that is the result of a typographical error, system error, or manifest mistake, and reserves the right to correct such errors at any time.

10. Taxes

10.1 All prices listed on the Website are inclusive of applicable GST as per prevailing Indian tax laws. The Company shall issue a tax invoice for all Orders where required under applicable law.

10.2 You are responsible for any additional taxes, duties, levies, or charges that may be imposed by any governmental authority in relation to your purchase, to the extent not already included in the displayed price.

10.3 The Company reserves the right to revise prices to reflect changes in applicable tax rates. Such revisions shall take effect from the date of publication on the Website.

11. Payment Terms

11.1 The Company accepts payments through the following modes, as made available on the Website from time to time:

(a) Credit cards (major networks);

(b) Debit cards (major networks);

(c) Net banking;

(d) Unified Payments Interface (UPI);

(e) Electronic wallets;

(f) Cash on Delivery (COD), where available and subject to applicable order value limits and serviceable pin codes;

(g) Any other payment method as may be introduced by the Company from time to time.

11.2 All payment transactions are processed through secure, third-party payment gateways. The Company does not store your complete payment card information on its servers.

11.3 You represent and warrant that you are the authorised holder of the payment instrument used for any transaction on the Website, and that sufficient funds or credit are available to complete the transaction.

11.4 The Company reserves the right to add, modify, or discontinue any payment method at any time without prior notice.

11.5 In the event of a payment failure, the transaction shall be deemed unsuccessful and no Order shall be processed. Any amount debited from your account in connection with a failed transaction shall be refunded in accordance with the timelines prescribed by the relevant payment gateway or bank.

11.6 The Company shall not be liable for any payment failures, delays, or errors caused by your bank, payment gateway, or other third-party payment service providers.

11.7 Cash on Delivery (COD) orders may be subject to an order value limit as specified on the Website at the time of checkout. The Company reserves the right to restrict or withdraw the COD payment option at its discretion.

12. Order Placement and Acceptance

12.1 All information and content displayed on the Website, including Product listings and prices, constitute an invitation to treat and not an offer. Your Order constitutes an offer to purchase the relevant Products, which the Company may accept or decline at its sole discretion.

12.2 Upon placing an Order, you will receive an automated acknowledgement email confirming receipt of your Order. This acknowledgement does not constitute acceptance of your Order by the Company.

12.3 A binding contract between you and the Company is formed only upon the Company's issuance of an Order Confirmation, which shall be sent to your registered email address upon confirmation that the Products have been processed for dispatch or shipment.

12.4 The Company reserves the right to decline or cancel any Order, in whole or in part, at any time prior to dispatch, for any of the following reasons, without limitation:

(a) The Product is no longer available or is out of stock;

(b) The Company is unable to obtain payment authorisation or confirmation;

(c) The Order is suspected to involve fraudulent, unauthorised, or automated means;

(d) There is a manifest error in the price or description of the Product;

(e) Shipping restrictions apply to the delivery address provided;

(f) The Order is placed in breach of these Terms;

(g) Any other reason at the Company's sole discretion.

12.5 In the event that the Company declines or cancels an Order after payment has been received, the Company shall process a full refund of the amount paid in accordance with the Returns, Exchanges & Refunds Policy.

12.6 Non-confirmation of an Order within 5 Working Days of receipt shall be deemed a refusal of the Order.

13. Order Cancellation

13.1 Cancellation by the Customer Before Dispatch: You may request cancellation of an Order prior to its dispatch by contacting the Company at customercare@palmangels.co.in or through the cancellation facility available in your Account, if applicable. Cancellation requests shall be processed subject to the order status at the time of the request. Once an Order has been dispatched, cancellation shall not be possible, and the Returns, Exchanges & Refunds Policy shall apply.

13.2 Cancellation by the Company: The Company reserves the right to cancel any Order at any time prior to dispatch for the reasons set out in Clause 12.4 above or for any other legitimate reason. In such cases, the Company shall notify you and process a full refund where applicable.

13.3 Please refer to the Returns, Exchanges & Refunds Policy for detailed provisions relating to cancellations, refunds, and the applicable timelines.

14. Right to Refuse Orders

14.1 The Company reserves the right, at its sole and absolute discretion, to refuse service or decline to process any Order from any User, at any time and for any reason, including but not limited to suspected fraud, abuse of promotional offers, breach of these Terms, or any conduct that the Company considers inappropriate or harmful.

14.2 The exercise of this right shall not give rise to any liability on the part of the Company towards the User, except for the refund of any amounts already paid in respect of the refused Order.

15. Promotional Offers and Discount Codes

15.1 The Company may, from time to time, offer promotional discounts, limited-time offers, seasonal sales, or special pricing on selected Products. Such offers are subject to the specific terms and conditions communicated at the time of the promotion and may be withdrawn or modified at any time without prior notice.

15.2 Discount Codes issued by the Company are subject to the following conditions, unless otherwise specified:

(a) Each Discount Code is valid for a single use only, unless expressly stated otherwise;

(b) Discount Codes are non-transferable and may not be sold, exchanged, or combined with other offers;

(c) Discount Codes must be applied at the time of checkout and cannot be applied retrospectively to completed Orders;

(d) Discount Codes are valid only for the period specified and shall expire upon the stated end date;

(e) The Company reserves the right to withdraw or invalidate any Discount Code at any time without prior notice.

15.3 In the event of any dispute regarding the application or validity of a Discount Code, the Company's decision shall be final and binding.

16. Gift Cards

16.1 The Company may offer Gift Cards for purchase on the Website, subject to the following conditions:

(a) Gift Cards are redeemable only against the purchase of Products on the Website;

(b) Gift Cards are non-refundable and cannot be exchanged for cash;

(c) Gift Cards are valid for a period of 1 year from the date of issuance;

(d) Gift Cards may not be used in conjunction with other promotional offers unless expressly permitted;

(e) The Company shall not be liable for lost, stolen, or damaged Gift Cards;

(f) Gift Cards are non-transferable and may not be resold.

16.2 The Company reserves the right to introduce, modify, or discontinue the Gift Card programme at any time.

Intellectual Property

17. Intellectual Property Rights

17.1 The Website and all of its content, including but not limited to text, graphics, photographs, illustrations, images, videos, audio recordings, software, source code, interface design, logos, icons, button icons, collection names, layouts, colour schemes, fonts, diagrams, and the overall selection and arrangement of such content (collectively, "Company Content"), are the exclusive property of the Company, or their respective licensors, and are protected under applicable Indian and international intellectual property laws, including the Copyright Act, 1957, and the Trade Marks Act, 1999.

17.2 All Intellectual Property Rights in and to the Company Content, the Website, and the Palm Angels brand are owned by or licensed to the Company or its affiliates. Nothing in these Terms shall be construed as conferring upon you any licence, right, or interest in the Intellectual Property Rights of the Company or its affiliates, except as expressly stated herein.

18. Trademarks

18.1 The trade name "Palm Angels", the Palm Angels logo, and all related brand identifiers, collection labels, and emblems displayed on the Website are registered or unregistered trademarks of the Parent Company, Zyvora Brands Private Limited (with authorisation), or its affiliates. All rights in such marks are reserved.

18.2 You shall not use, reproduce, display, or incorporate any trademark of the Company or its affiliates in any manner without the prior written consent of the Company.

18.3 Any use of the Company's trademarks in a manner likely to cause confusion, deception, or misrepresentation, or that is likely to dilute the distinctiveness of such marks, is strictly prohibited.

20. User Generated Content

20.1 If you submit, post, or otherwise make available any content on the Website, including reviews, comments, photographs, or other material ("User Content"), you represent and warrant that:

(a) You are the sole author or owner of the User Content, or have obtained all necessary rights and permissions to submit it;

(b) The User Content does not infringe the Intellectual Property Rights, privacy rights, or any other rights of any third party;

(c) The User Content is not defamatory, offensive, obscene, unlawful, or otherwise objectionable.

20.2 By submitting User Content, you grant the Company a non-exclusive, royalty-free, worldwide, perpetual, irrevocable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in any media, in connection with the Website and the Company's business.

20.3 The Company reserves the right to remove, edit, or refuse to publish any User Content at its sole discretion, without prior notice and without liability.

20.4 The Company does not endorse or assume any responsibility for User Content submitted by Users.

User Obligations and Conduct

21. User Conduct

21.1 By using the Website, you agree to use it only for lawful purposes and in a manner consistent with these Terms and all applicable laws and regulations.

21.2 You agree not to use the Website:

(a) In any way that violates any applicable Indian or international law or regulation;

(b) To transmit any unsolicited or unauthorised advertising or promotional material;

(c) To impersonate any person or entity, or falsely represent your affiliation with any person or entity;

(d) To engage in any conduct that restricts or inhibits any other User's use or enjoyment of the Website;

(e) To interfere with or disrupt the operation of the Website or the servers or networks connected to the Website;

(f) To introduce any virus, trojan horse, worm, logic bomb, or other malicious or technologically harmful material.

22. Prohibited Activities

22.1 The following activities are strictly prohibited on the Website:

(a) Accessing or attempting to access any area of the Website that is not intended for public access;

(b) Using automated tools, software, robots, crawlers, spiders, scrapers, or any other automated means to access, monitor, or copy any content from the Website;

(h) Using the Website for any commercial purpose or for the benefit of any third party without the Company's prior written consent.

22.2 Any breach of this Clause may result in immediate suspension or termination of your Account and may expose you to civil and/or criminal liability.

23. Fraud Prevention

23.1 The Company employs fraud prevention measures to protect the integrity of its platform and its Customers. The Company reserves the right to verify the identity of any User, request additional documentation, and decline or cancel any Order that it reasonably suspects to be fraudulent or unauthorised.

23.2 The Company may impose limits on the number of transactions permissible per User account within a specified period and may refuse to process transactions that exceed such limits.

23.3 The Company shall not be liable for any loss or damage arising from its decision to decline, delay, or cancel a transaction in the exercise of its fraud prevention measures.

23.4 If you suspect that your Account has been compromised or that an unauthorised transaction has been made using your payment details, you must notify the Company immediately at customercare@palmangels.co.in and contact your bank or payment service provider without delay.

24. Suspension and Termination of Accounts

24.1 The Company reserves the right to suspend or terminate your Account, with or without prior notice, in the event of:

(a) Any breach of these Terms or any other policy of the Company;

(b) Provision of false, inaccurate, or misleading information;

(c) Engaging in fraudulent, unlawful, or abusive conduct;

(d) Any activity that the Company considers harmful to the Website, other Users, or third parties;

(e) A request by a law enforcement or regulatory authority.

24.2 Upon termination of your Account, your right to access the Website and use the Services shall cease immediately. The Company shall not be liable to you or any third party for any termination of your Account.

Disclaimers and Limitation of Liability

26. Disclaimer of Warranties

26.1 The Website and all Services are provided on an "as is" and "as available" basis, without any representation, warranty, or guarantee of any kind, whether express, implied, or statutory, to the fullest extent permitted by applicable law.

26.2 The Company does not warrant that:

(a) The Website will be available, uninterrupted, timely, secure, or free from errors at all times;

(b) Any errors or defects in the Website will be corrected;

(c) The Website or the servers that make it available are free from viruses or other harmful components;

(d) The results obtained from the use of the Website will be accurate or reliable.

26.3 Nothing in these Terms shall exclude or limit any warranty or liability that cannot be excluded or limited under applicable Indian consumer protection law.

27. Limitation of Liability

27.1 To the fullest extent permitted by applicable law, the Company, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or any other intangible losses, arising out of or in connection with your use of or inability to use the Website or the Services.

27.2 The Company's total aggregate liability to you for any claim arising out of or in connection with these Terms or your use of the Website shall not exceed the amount paid by you for the specific Order giving rise to the claim.

27.3 The limitations of liability in this Clause shall not apply to:

(a) Liability for death or personal injury caused by the Company's negligence;

(b) Liability for fraud or fraudulent misrepresentation;

(c) Any liability that cannot be excluded or limited under applicable Indian law.

27.4 The Company shall not be liable for any failure or delay in the performance of its obligations arising from a Force Majeure Event, as defined in Clause 33 of these Terms.

28. Indemnification

28.1 You agree to indemnify, defend, and hold harmless the Company, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

(a) Your access to or use of the Website or the Services;

(b) Your breach of these Terms or any applicable law;

(c) Your violation of the rights of any third party, including Intellectual Property Rights or privacy rights;

(d) Any User Content submitted by you;

(e) Any fraudulent or wilful misconduct on your part.

28.2 The Company reserves the right to assume exclusive control of the defence of any matter subject to indemnification by you, and you agree to cooperate with the Company's defence of such claims.

Special Provisions

29. Retention of Title

29.1 Title to and ownership of the Products shall remain with the Company until full payment for the Products has been received and cleared. Risk in the Products shall pass to you upon delivery to the address specified in your Order.

30. Electronic Communications

30.1 By registering on the Website or placing an Order, you consent to receiving communications from the Company electronically, including by email, SMS, or through notifications on the Website or mobile application.

30.2 You agree that all agreements, notices, disclosures, and other communications provided to you electronically by the Company satisfy any legal requirement that such communications be in writing.

30.3 If you wish to opt out of receiving marketing communications from the Company, you may do so by following the unsubscribe instructions contained in any marketing email or by updating your communication preferences in your Account settings.

31. Governing Law

31.1 These Terms and all matters arising out of or in connection with them shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.

32. Jurisdiction

32.1 Subject to the dispute resolution provisions set out in Clause 34, the courts at Ludhiana shall have exclusive jurisdiction over all disputes arising out of or in connection with these Terms or your use of the Website.

33. Force Majeure

33.1 The Company shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent that such failure or delay is caused by a Force Majeure Event, meaning any event beyond the Company's reasonable control, including but not limited to:

(a) Acts of God, including floods, earthquakes, cyclones, or other natural disasters;

(b) Epidemics, pandemics, or public health emergencies declared by a competent authority;

(c) Acts of war, terrorism, civil unrest, or governmental action;

(d) Strikes, lockouts, or other industrial actions;

(e) Disruptions to telecommunications, internet, or power infrastructure;

(f) Any other event beyond the Company's reasonable control.

33.2 In the event of a Force Majeure Event, the Company shall notify you as soon as reasonably practicable and shall take reasonable steps to mitigate the impact of such event on the Services.

34. Grievance Officer
